Terms of Service
These terms are the agreement between you and Utilica (“Utilica”, “we”, “us”) for your use of utilica.app and the tools we offer there. Please read them. By creating an account or using the service you agree to them.
1. Agreeing to these terms
You accept these terms when you tick the box at sign-up, when you confirm them after signing in for the first time, or when you use any part of the service without an account. If you do not agree, do not use the service.
These terms include our Acceptable Use Policy. Our Privacy Policy and Cookie Policy explain how we handle personal data and cookies; they are not contractual terms but you should read them too.
You must be at least 16 years old to hold an account. If you use the service for a business or other organization, you confirm that you are allowed to accept these terms on its behalf, and “you” means that organization as well.
2. What the service is
Utilica is a set of online tools. Today that means a QR code generator, including dynamic QR codes whose destination you can change after printing. A link shortener and further tools are planned. Each tool has a free version and may have additional features under a paid plan (“Pro”).
We add, change and occasionally remove features. When a change would reduce what you can do with something you have already created, we will tell you in advance where we reasonably can.
3. Your account
- Give accurate information when you sign up, and keep your email address current. We use it for sign-in codes, security notices and notices under these terms.
- Keep your password and sign-in codes to yourself. You are responsible for what happens under your account unless it results from our own failure to protect it.
- Tell us promptly at support@utilica.app if you think someone else has access to your account.
- Accounts are for one person or one organization. Do not create multiple accounts to get around the limits of the free plan.
4. The free plan and our commitments to you
The free plan is meant to be useful on its own. In particular:
- Your codes do not expire. We do not set an expiry date on a dynamic QR code, on any plan. A code only stops redirecting if you pause or delete it, if you set your own expiry date, if you delete your account, or if we disable it under section 10 or 12.
- What you download is yours. Image files you export keep working whether or not you keep your account, because a static QR code does not depend on us.
- Downgrading never breaks a code. If you leave a paid plan, your existing codes and links keep redirecting. You lose access to paid features, not to what you already made.
- Short links. When the link shortener is available, the free plan includes up to three active short links at a time, without advertising on the redirect.
The free plan has limits, such as the number of dynamic codes or short links you can have and how fast you can create them. Current limits are shown in the product. We may adjust them, but a change to a limit will not disable codes or links you created within the limit that applied at the time.
5. Paid plans and billing
Pro is not on sale yet. When it is, the price, billing period and what is included will be shown before you pay, and the following will apply:
- Subscriptions are billed in advance and renew automatically for the same period until you cancel. You can cancel at any time from your billing settings; cancellation takes effect at the end of the period you have paid for.
- One Pro plan covers every tool. It raises usage limits and unlocks additional features across the suite.
- A one-time “lifetime” purchase, if offered, lasts for as long as we operate the service. It is not a promise to operate the service forever.
- Payments are processed by our payment provider. We do not receive or store your full card details.
- Prices exclude taxes unless stated. You are responsible for taxes that apply to your purchase.
- If we change the price of a subscription, we will tell you at least 30 days before the change applies to you, and you can cancel before it does.
- Payments are non-refundable except where we state otherwise at checkout or where the law gives you a right to a refund. Nothing in these terms removes a right of withdrawal or refund that consumer law gives you.
6. Your content
“Your content” means what you put into the service: destination addresses, the information encoded in your codes, names, designs, and files you upload such as logos.
- You keep all rights in your content. We do not claim ownership of it.
- You give us permission to host, copy, process and display your content as needed to run the service for you: for example, storing a logo so it can be drawn into your code, or sending a visitor to your destination.
- You confirm that you have the right to use your content, including any logo or trademark, and that it and the places it leads to comply with these terms and with the law.
- Logos you upload are stored at an address that anyone who has it can open. Do not upload a file as a logo if it needs to stay private.
- You are responsible for your content and for keeping your own copies. You can export your codes, their destinations and their designs at any time.
7. Acceptable use and safety checks
You must follow the Acceptable Use Policy. In short: no phishing, malware, scams, illegal content, or attempts to disrupt the service.
One abusive destination can cause our redirect domain to be blocked for everyone, so we check destinations automatically when you create or edit them and again from time to time afterwards. These checks include sending the destination address to a third-party safety service. We may refuse a destination, show a warning page instead of redirecting, or pause a code or link while we review it.
8. Scan statistics and the people who scan your codes
For dynamic codes and short links we record limited, non-identifying information about each visit so we can show you statistics. The Privacy Policy describes exactly what is recorded. We do not give you the identity or IP address of the people who scan your codes.
You are responsible for how you use codes and links with your own audience, including any notice or consent that the law where you operate requires you to give them.
9. Our rights in the service
We and our licensors own the service: the software, the design, the name and logo. We give you a personal, non-transferable permission to use it under these terms. You may not copy, resell or reverse engineer the service, except where the law says we cannot prohibit that.
If you send us ideas or feedback, we may use them without owing you anything. We will not publish your name with your feedback unless you agree.
10. Suspension and removal by us
We may pause a code or link, restrict an account, or close an account if:
- you seriously or repeatedly break these terms or the Acceptable Use Policy;
- a destination is flagged as unsafe, or we reasonably believe it is harmful or unlawful;
- we are required to by law, a court or a regulator; or
- it is necessary to protect the service, our other users, or the public.
Where we reasonably can, we will tell you what we did and why, and give you a chance to fix the problem or to respond. We may act first and explain afterwards when the risk is urgent, such as an active phishing page. If you think we got it wrong, write to support@utilica.app and a person will review it.
11. Closing your account
You can stop using the service at any time and can ask us to delete your account. Deleting your account deletes your codes and links, and their redirects stop working. Anything already printed with a dynamic code will stop resolving, so export your data and move your destinations first. Static codes you have downloaded are unaffected.
12. Changes to the service, and what happens if we shut down
We may change or discontinue a tool. Because people print our codes on physical things, we make this commitment: if we decide to shut down the service or the redirect feature, we will give notice by email and on the site and keep existing redirects running for at least 12 months after that notice, so you have time to replace anything you have printed. This commitment does not apply to codes or accounts disabled under section 10, or where continuing would be unlawful.
13. Third-party services
The service relies on other companies, for example for hosting, sign-in with Google and payments, and it sends people to destinations we do not control. Your use of a third party’s service is governed by its own terms. We are not responsible for third-party sites or for the content at any destination.
14. What we do not promise
We work to keep the service reliable, and the redirect layer is built to stay up even when the rest of the service is down. Even so, the service is provided “as is” and “as available”. To the extent the law allows, we do not give any warranty that the service will be uninterrupted or error-free, that every code will scan on every device or in every print condition, or that statistics will be perfectly accurate. Test your codes before you print in volume.
15. Limits on our liability
To the extent the law allows:
- we are not liable for indirect or consequential losses, or for lost profits, revenue, business, goodwill or data, including the cost of reprinting materials;
- our total liability to you for all claims relating to the service is limited to the greater of the amount you paid us in the 12 months before the claim arose and 100 US dollars.
Nothing in these terms limits liability that cannot be limited by law, such as liability for fraud, for death or personal injury caused by negligence, or for rights you have as a consumer that cannot be waived.
16. If your use causes a claim against us
If someone brings a claim against us because of your content, your destinations, or your breach of these terms, you agree to cover our reasonable losses and costs from that claim, to the extent it results from what you did. This section does not apply to you if you use the service as a consumer.
17. Copyright and trademark complaints
If you believe something made with or reached through the service infringes your copyright or trademark, write to support@utilica.app with: what work or mark is affected, the code or link involved, your contact details, and a statement that you are the rights holder or are authorized to act for them. We will review it and may disable the code or link. We may close the accounts of people who repeatedly infringe.
18. Changes to these terms
We may update these terms, for example when we add a tool or when the law changes. The date at the top shows when they last changed. If a change is significant we will tell you by email or in the product before it takes effect and ask you to accept the new terms the next time you sign in. If you do not agree, you can close your account before the change applies.
19. Governing law and disputes
These terms are governed by the laws of the place where Utilica is established, and the courts there have jurisdiction over any dispute about them or about the service.
If you are a consumer, you also keep the protection of the mandatory laws of the country where you live, and you may bring a claim in the courts there. Before starting any formal proceedings, please write to support@utilica.app; we would rather solve the problem.
20. General
- These terms, with the Acceptable Use Policy and anything shown to you at checkout, are the whole agreement between us about the service.
- If a court finds part of these terms unenforceable, the rest still applies.
- If we do not enforce a term straight away, we can still enforce it later.
- You may not transfer your rights under these terms without our consent. We may transfer ours to a company that takes over the service, and it will be bound by the commitments in sections 4 and 12.
- We are not liable for delays or failures caused by events outside our reasonable control.
